Actually, we don't need to record who seconded it, just whether it was
seconded. And we don't need to record specifically how each director
voted, except perhaps in special cases. But the motion must be recorded
accurately, who made it, and the results of the vote.
The primary function of the minutes is to record what the group does, not
so much everything that is said. And how the group does something is
mainly by motions and votes. So, at least that much needs to be recorded
faithfully. There's nothing onerous about it, we just need to do it.
And by the way, if the recording secretary is having trouble accurately
recording a motion, he is well within his rights to slow the proceedings
down or ask for it to be restated or whatever it takes. The rest of us
(especially the chairman) not only need to be tolerant of that, but back
him up.
