Excusing an absence?  It does not seem to be an inconsistency.
 
- If you don't show up and don't set up a proxy - unexcused absence.
- If you don't show up but arrange a proxy (several methods are
avaliable) "the absent Director shall be considered excused".

Nominating candidates for Board Member election
What's the problem here?
1. Nominating Committee (appointed by President!!)
    In the coming election - it's Rob responsibility.
    Last election round - it was Mike Koop's.
2. Written notice - gee, official throw the bums out.
   Doubt it would ever be used.  But wording from
   state law probably.
3.From floor during General Meeting, reminds me of
   a New England town meeting. Direct democracy.
